Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the website, software, services, and any related documentation provided by Zakm Technologies (referred to as “Zakm”, “we”, “us” or “our”) via zakm.co.in. By accessing, purchasing, downloading, installing, or using our products or services, you agree to be bound by these Terms.
1. Definitions
- Software — the billing software product(s) and any updates, patches or modules provided by Zakm.
- License — the limited right granted to you to use the Software as described in your order or license agreement.
- Services — support, customization, training, implementation or other professional services provided by Zakm.
- User or You — an individual or legal entity who uses or purchases the Software or Services.
2. Acceptance
By using our Website, Software or Services, you acknowledge that you have read, understood and agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
3. License Grant & Restrictions
Subject to your compliance with these Terms and payment of applicable fees, Zakm grants you a limited, non-exclusive, non-transferable license to use the Software for your internal business purposes only.
- You may not: reverse engineer, decompile, disassemble, modify, or create derivative works of the Software except to the extent permitted by applicable law.
- You may not sublicense, sell, rent, lease, transfer, assign or distribute the Software to third parties without Zakm's prior written consent.
- All rights not expressly granted are reserved by Zakm.
4. Account, Credentials & Security
- You are responsible for maintaining the confidentiality of account credentials (usernames, passwords, license keys) and for all activity that occurs under your account.
- You must notify Zakm immediately of any unauthorized use or suspected breach of your account.
5. Payments & Billing
- Fees for the Software and Services are set out on our Website or in your purchase/order confirmation. All amounts are quoted in the currency shown at purchase and are exclusive of taxes unless stated otherwise.
- Payment is due as specified at the time of purchase. We may suspend access for overdue accounts after providing reasonable notice.
- Subscription plans auto-renew unless cancelled prior to the renewal date. Cancellation of subscriptions will stop future billing but will not automatically refund the current billing period (see our Cancellation & Refund Policy).
6. Delivery & Activation
- Following successful payment, we will deliver license keys and download links electronically to the email address you provide.
- You are responsible for verifying system requirements and compatibility prior to installation. Zakm is not liable for issues caused by incompatible hardware or third-party software.
7. Support & Maintenance
Basic support and bug-fix updates (if included in your plan) are provided as described on zakm.co.in or in your purchase agreement. Additional or premium support, customization, and training are available for an additional fee.
8. Intellectual Property
All intellectual property rights in the Software, documentation, branding, and related materials are owned by Zakm or its licensors. These Terms do not transfer any ownership rights to you.
9. Confidentiality
Each party agrees to keep confidential any proprietary or confidential information disclosed by the other party, except as required by law. Confidential information does not include information that is publicly known or independently developed.
10. Warranties & Disclaimers
We endeavor to provide reliable software, but except where prohibited by law, the Software and Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. Zakm expressly disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Zakm's total liability to you for any claim arising out of or relating to these Terms or the Software shall not exceed the fees you paid to Zakm for the product or service giving rise to the claim in the 12 months preceding the claim. Zakm shall not be liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, loss of data, or business interruption.
12. Indemnification
You agree to indemnify, defend and hold Zakm and its officers, directors, employees and agents harmless from and against any claims, liabilities, losses, damages and expenses (including reasonable legal fees) arising from your use of the Software in violation of these Terms or applicable law.
13. Termination
- Either party may terminate your license if the other party materially breaches these Terms and fails to cure the breach within thirty (30) days of written notice.
- On termination, you must cease all use of the Software and destroy all copies in your possession, unless otherwise agreed in writing.
14. Data & Privacy
Zakm's handling of personal data is governed by our Privacy Policy. By using the Software or Services you consent to our collection, use and disclosure of personal data as described in that policy.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Software after such changes constitutes acceptance of the new Terms.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms will be submitted to the exclusive jurisdiction of the courts located in [Your City, India]. (Replace with the city you prefer.)
